1. Nature of the Service — A Publication, Not Advice
Financial-Portfolios.ai (the "Service"), operated by Autonomous Intelligent Agents LLC ("AIA", "we", "us", or "our"), is a financial publication of general and regular circulation delivered through a website, a REST API, WebSocket streams, and optional software. The Service publishes algorithmically generated model portfolios, market commentary, quantitative signals, and research derived from the Adaptive Quantitative Agent ("AQA") system.
AIA is not a registered investment adviser, broker-dealer, financial planner, tax adviser, accountant, or fiduciary. AIA does not offer personalized investment advice. AIA operates in reliance on the publisher's exclusion set forth in Section 202(a)(11)(D) of the Investment Advisers Act of 1940, and corresponding state-law exclusions, as articulated by the Supreme Court of the United States in Lowe v. SEC, 472 U.S. 181 (1985).
Consistent with that exclusion, the Service is operated so that all content is:
- Impersonal and non-individualized. Content is not adapted to the specific investment needs, financial situation, objectives, risk tolerance, liquidity needs, tax circumstances, holdings, or account size of any subscriber. AIA does not collect suitability information, does not profile subscribers for investment purposes, and does not vary the published content from one subscriber to another within a tier.
- Of general and regular circulation. Content is published on a pre-established schedule and released uniformly to all subscribers of the applicable tier. Publication is not timed to, or triggered by, episodic market events, individual securities activity, or the circumstances of any subscriber.
- Bona fide, disinterested commentary and analysis. Content is genuine research output. It is not a vehicle for promoting any security, issuer, or third party, and is not a device to evade registration requirements.
2. Independence and Absence of Issuer Compensation
AIA accepts no compensation, in cash or in securities, from any issuer, broker-dealer, fund sponsor, promoter, investor-relations firm, or other party in exchange for coverage, for inclusion in a model portfolio, or for favorable commentary. AIA's revenue comes from subscription fees paid by readers. AIA does not engage in paid stock promotion of any kind.
AIA, its officers, employees, and contractors may hold positions in securities that appear in published model portfolios. Any such position is incidental and does not alter the published output, which is generated systematically. AIA does not trade a security in anticipation of that security's appearance in a forthcoming publication.
3. No Investment, Legal, Tax, or Accounting Advice
Nothing published, displayed, generated, emailed, transmitted, streamed, or otherwise made available through the Service — including through the API, WebSocket streams, downloadable software, or any social channel — constitutes, and nothing shall be construed as:
- investment advice, a recommendation, a solicitation, or an offer to buy, sell, hold, or otherwise transact in any security, derivative, cryptocurrency, commodity, or other financial instrument;
- legal, tax, accounting, actuarial, insurance, or retirement planning advice;
- an endorsement of any broker-dealer, custodian, issuer, fund sponsor, or third party; or
- an assurance that any investment, strategy, or model portfolio is suitable for you.
You are solely responsible for your own investment decisions. Before acting on any information available through the Service, you must conduct your own independent research and/or consult a licensed investment adviser, registered representative, attorney, certified public accountant, or other qualified professional appropriately licensed in your jurisdiction.
4. Risk of Loss
Investing, trading, and portfolio allocation involve substantial risk of loss, including the possible loss of all principal. You should not invest money that you cannot afford to lose. Markets are volatile; asset values can decline rapidly and without warning. Leverage, derivatives, options, short positions, concentration, illiquidity, foreign-currency exposure, and allocation to emerging markets each introduce additional and distinct risks.
No investment strategy — including any strategy generated by AQA — can eliminate market risk, guarantee profit, avoid loss, or outperform any benchmark in any given period.
5. Performance Results — Past, Hypothetical, and Simulated
Any performance figures, backtests, simulations, or model-portfolio return streams presented through the Service are, unless expressly and prominently stated otherwise, hypothetical performance results. They do not represent actual trading, were not achieved by any live client account, and no reader obtained them. They are of two kinds:
- Model-portfolio track records. A model portfolio's "track record" or "since inception" statistics are calculated by applying each published allocation's weights to the daily total returns of its holdings and holding them until the next allocation, with uninvested cash earning nothing. No money was invested to produce them. They assume every allocation was implemented in full, at closing prices, on the day it applies, and they do not deduct subscription fees, commissions, spreads, slippage, taxes, or other costs. Figures for periods shorter than a year that are shown on an annualized basis extrapolate a short history and can be misleading. Shown publicly, they are delayed (currently by 45 days). How each statistic is calculated is described on the Service's methodology page.
- Backtests and simulations. Results generated retroactively by applying a model to historical data, including any part of a track record covering a period before the model portfolio was first published, are backtests: they show what a model, as since designed, would have selected, not what was published at the time.
Hypothetical performance results have many inherent limitations. No representation is being made that any account will, or is likely to, achieve profits or losses similar to those shown. In fact, there are frequently sharp differences between hypothetical performance results and the actual results subsequently achieved by any particular trading program or investor.
Limitations of hypothetical and simulated results include, without limitation:
- they are generated with the benefit of hindsight;
- they do not involve actual execution risk, slippage, partial fills, or market impact;
- they may not reflect the full cost of commissions, transaction taxes, borrow costs, financing costs, custody fees, wire fees, or other frictions you would incur;
- they may not reflect liquidity constraints in thinly traded instruments;
- they assume continuous and uninterrupted model operation, data availability, and subscriber discipline;
- they may reflect models that were developed, tested, and refined using the same historical data on which they are evaluated; and
- they may be affected by survivorship bias, corporate-action adjustment error, and the restatement or back-adjustment of historical price data by upstream vendors.
Past performance — actual, hypothetical, or simulated — is not indicative of, and does not guarantee, future results. The value of any investment can fall as well as rise, and you may get back less than you invest.
6. Benchmark Comparisons
Where published output is compared to a market index such as the S&P 500 (SPY) or the Nasdaq-100 (QQQ), the comparison is provided solely for context. Indices are unmanaged, do not incur management fees, transaction costs, or taxes, and cannot be invested in directly. A model portfolio's holdings, concentration, volatility, and risk profile may differ materially from any index against which it is shown. Such comparisons do not imply that any model portfolio is equivalent to, tracks, or will replicate the performance of any index.
7. Forward-Looking Statements
Statements about expected performance, system objectives, model behavior, benchmark relationships, or future developments are forward-looking statements. They rest on assumptions that may prove incorrect, and actual outcomes may differ materially. AIA undertakes no obligation to update any forward-looking statement to reflect events or circumstances arising after the date it was made.
8. Algorithmic and AI-Generated Content
The Service uses statistical and machine-learning techniques — including regime classification, systematic cross-sectional stock selection, and rules-based risk overlays — to generate its published output. Certain written commentary and portfolio reports are additionally drafted or summarized by a third-party large language model and may be published without individual human review.
These techniques can produce results that are incorrect, incomplete, stale, biased, internally inconsistent, or misleading, including results that differ materially from prevailing market conditions or from any reasonable investor's intuition. Language models in particular can state incorrect facts with apparent confidence. AIA does not warrant that any algorithmic or AI-generated output is free of error and does not commit to human review of every signal, portfolio, or report published.
AIA does not represent that the methods described in its marketing or documentation are the complete or exclusive basis for any published output; model composition changes over time as research progresses.
9. Self-Directed Tools and Calculators
The Service may offer arithmetic utilities that operate on inputs you supply — for example, a tool that compares a holdings file you upload, and a capital figure you enter, against a published model portfolio and returns the arithmetic difference expressed as share counts.
These tools are deterministic calculators, not advice. In particular:
- the tool performs arithmetic on your inputs and does not evaluate whether any resulting transaction is appropriate for you;
- AIA does not collect, request, or consider your investment objectives, risk tolerance, time horizon, tax position, income, net worth, or any other suitability factor, and does not review your inputs;
- the output is not a recommendation to buy, sell, or hold any security, is not tailored to you, and does not create an advisory or fiduciary relationship; and
- you remain solely responsible for deciding whether to transact, in what size, and through whom.
If you want an assessment of whether any transaction is suitable for you, consult a licensed investment adviser.
10. No Warranty of Data
Market, macroeconomic, reference, and fundamental data displayed through the Service are obtained from third-party data providers. AIA does not originate such data and cannot guarantee its accuracy, completeness, timeliness, or continuity. Data outages, vendor errors, delayed corporate-action processing, and retroactive restatement of historical prices may cause the Service's output to diverge from reality. Third-party data is subject to the redistribution restrictions described in the Terms of Service.
11. Testimonials, Reviews, and Third-Party Statements
Any testimonial, review, rating, case study, or user statement displayed on the Service or on any social channel reflects the experience of that individual only, is not representative of the experience of other readers, and is not a guarantee of future performance or results. Where a person providing a statement received any compensation, free or discounted access, or other benefit, or has any material connection to AIA, that fact will be disclosed alongside the statement in accordance with the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). AIA does not suppress or selectively publish negative reviews.
12. Social Media Channels
AIA operates public social-media channels, including the YouTube channel at https://www.youtube.com/@Financial-Portfolios-AI, and may from time to time operate accounts on platforms such as X (Twitter), LinkedIn, Reddit, Discord, TikTok, Instagram, Facebook, Threads, Bluesky, Mastodon, Substack, and Medium (collectively, the "Social Channels"). Social Channels are open to the general public, including non-paying visitors, and are not gated by subscription.
Every disclaimer in this document applies in full to every post, video, short, livestream, podcast, thumbnail, title, caption, chat message, pinned comment, reply, story, newsletter, DM, or other content of any kind published or transmitted through any Social Channel, whether authored by AIA, an AIA officer, an AIA employee, an AIA contractor, a presenter, a guest, a moderator, a commenter, or any other person.
In particular, and without limitation:
- No financial, investment, legal, tax, or accounting advice. Nothing on any Social Channel constitutes investment, financial, legal, tax, accounting, or other professional advice, a recommendation, a solicitation, or an offer to buy, sell, or hold any security, derivative, cryptocurrency, commodity, or other instrument. Content is general-audience commentary and education only and is not individualized to you.
- Do not act on social-media content. Do not make, modify, or refrain from any investment, trading, or financial decision on the basis of any Social Channel content. Do your own research and consult a licensed professional before acting.
- Hypothetical and past performance. Any figures, charts, backtests, or model results shown in videos or posts are hypothetical and historical. Past performance does not guarantee future results. Hypothetical performance has inherent limitations (see §5).
- No warranty on accuracy. Social Channel content may be abridged, simplified, out of date, edited for brevity, or superseded by later material. AIA makes no warranty as to the accuracy, completeness, timeliness, or fitness of any Social Channel content for any purpose.
- Third-party content is not endorsed. Comments, reactions, replies, duets, stitches, remixes, reposts, and user-generated content on or about a Social Channel are the sole responsibility of their authors. AIA does not endorse, verify, or adopt third-party content, and neither a "like", a pin, a re-share, nor a failure to moderate constitutes endorsement.
- Host-platform terms apply. Your use of a Social Channel is additionally governed by the terms, community guidelines, and privacy policies of the host platform (YouTube, Google, etc.). AIA does not control those platforms' recommendation algorithms, advertising, data collection, or moderation.
- No subscriber relationship. Following, subscribing to, commenting on, or otherwise interacting with a Social Channel does not create an advisory, fiduciary, client, customer, or contractual relationship with AIA, and does not entitle you to paid Service features.
13. API, WebSocket, MCP Connector, AI Assistants, and Free Software
Where the Service is accessed programmatically — through the REST API, WebSocket streams, Personal Access Tokens, the Model Context Protocol ("MCP") connector and any AI assistant you connect to it (for example Claude, ChatGPT, or Gemini), SDKs, or any software AIA publishes free of charge, including example code in the AIA community at https://github.com/Financial-Portfolios-AI — the disclaimers in this document apply in full and without modification to every byte delivered.
- No delivery guarantee. WebSocket and push channels are best-efforts; messages may be delayed, re-ordered, duplicated, or dropped. Do not rely on them for time-critical decisions.
- No availability guarantee. The API and WebSocket streams carry no SLA, no uptime commitment, and no deprecation-notice commitment unless separately agreed in a signed writing. Endpoints, fields, rate limits, and message shapes may change at any time.
- No warranty on free software. All software AIA publishes free of charge — SDKs, sample code, notebooks, reference clients, and standalone applications — is published "as is", with no warranty of merchantability, fitness for a particular purpose, accuracy, security, or suitability for production or trading use, and with no guarantee of maintenance, security patching, or continued availability. You must independently evaluate, test, secure, and harden any such software before use.
- Self-generated output is not our publication. If you run AIA software yourself, or modify it, the output you produce is yours, is not AIA's published content, has not been reviewed by AIA, and carries no representation from AIA whatsoever.
- No warranty that output is fit to drive automation. AIA makes no representation that API, WebSocket, or software output is suitable for automated trading, order routing, margin calculations, risk management, tax reporting, or any other downstream action. You are responsible for your own kill switches, position limits, sanity checks, and risk controls.
- Credential responsibility. Personal Access Tokens are bearer credentials. You are solely responsible for all activity performed under any PAT issued to your account, and for every action taken by an AI assistant you have connected through our OAuth authorisation flow.
- Model-alignment output is arithmetic, not advice. The
rebalance_portfoliotool, and every other model-alignment calculator, compares holdings you supply with a published model portfolio and returns target-model arithmetic — the share differences between the two. It is not a recommendation to buy, sell, or hold any security, is not individualized investment advice, and involves no assessment of your objectives, risk tolerance, financial situation, or tax position. Presentation by an AI assistant does not change that — including where the assistant describes the output as "orders", "trades", "what you should do", or a "recommendation", or frames it in terms of your circumstances. - AI-assistant output is not our publication. An AI assistant you connect may summarise, paraphrase, reorder, combine with other sources, or miscompute data it retrieves from the Service. What the assistant says is generated by a third party, has not been reviewed by AIA, and is not AIA's publication. Where it differs from what the Service publishes, the Service controls. Verify anything material against the Service before relying on it.
Your use of the API, WebSocket streams, the MCP connector, or any AIA software constitutes acceptance of every limitation in this Disclaimer and in the Terms of Service.
14. Jurisdiction and No Offer
Subscriptions are offered only to residents of the United States who are 18 or older (Section 1 of the Terms of Service). The public parts of the Service can be viewed from elsewhere, subject to Section 20 of the Terms of Service, but that is not an offer to subscribe to anyone outside the United States, and AIA makes no representation that the Service is appropriate or lawful to access in any other country. It is a general, impersonal publication: it is not individualized advice, and it is not directed at, and is not intended to be regulated under, any jurisdiction's regime for regulated investment advice, investment research, or financial promotions.
The Service is not intended for, and should not be relied upon by, any person in any jurisdiction where its distribution, publication, or availability would be contrary to local law or regulation. You are responsible for compliance with the laws that apply to you, and you must not use the Service where doing so would be unlawful for you. AIA does not offer the Service to persons or places subject to comprehensive U.S. sanctions (see Section 20 of the Terms of Service).
Nothing on the Service constitutes an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction — and in particular in any jurisdiction in which such an offer or solicitation would be unlawful — and nothing on the Service is a prospectus, offering memorandum, or similar document. Where a page of the Service is labelled a model portfolio's "prospectus", it is a description of that model portfolio's mandate, methodology, and published record; it is not a prospectus for, or an offer of, any security, fund, or investment product. AIA does not offer, sponsor, manage, or distribute any fund, pooled vehicle, managed account, or other investment product.
